The Section 16 rule of the Securities Exchange Act of 1934 dictates filing requirements that corporate insiders must abide by. The rule ensures transparency and accountability for insiders of publicly traded companies, and applies to directors, officers, and anyone else who owns more than 10% of a company’s stock. Insiders must report their ownership details and any changes in holdings.
Section 16 filings, as they relate to the Section 16 rule, are the official forms that publicly traded companies must submit about their insiders, to the SEC. Forms, 3, 4, and 5 are the most important of these since they are related to insider trading and ownership disclosures.
