    RBS’ decade of change: the bailout, the green shoots and the impact on share plan communications

    Nine years ago, during the global financial crisis, the UK government completed a £45bn bailout of Royal Bank of Scotland (RBS). Following that, new management were appointed and the long road to recovery began. In this session, we discussed how the changing environment at RBS impacted its share plan communications, the wider impact of disruptive technologies on communications over the last decade, and thoughts on the changes to come.

    James is a well known and respected member of the global share plan community and brings significant experience to his Associate Director of Client Management role at Computershare. Previously, James held senior Compensation and Benefits roles at Nokia and Telefonica, where he was involved in the design, implementation and governance of global equity programs. Before joining Computershare, James held the position of Head of Client Services at Barclays Global Stock & Reward Services, where he managed all client services as part of Barclays’ partnership with Solium.

    Alex joined Computershare in 2011 to lead Computershare’s Communication Services Division. With over 20 years’ experience in marketing and customer communications, Alex has previously held senior positions in some of the UK’s largest communications firms. With expertise spanning proposition/product development, insight, digital, creative and customer experience, Alex and his team have launched and transformed communications programmes for a number of Computershare’s largest clients.

    David Edwards

    Head of Share Plans and CGRO, RBS

    David joined RBS in 2011 and leads the Corporate Governance & Secretariat share plans team where he advises on all legal, tax and regulatory issues which impact the bank’s employee equity arrangements. David has extensive experience of the practical aspects of operating and implementing large global equity plans, employee communications and a wide range of corporate actions. He is responsible for the RBS all-employee plans and oversees global share plan compliance.

    Time to turnaround: evolving Imperial Brands’ share plans

    We all know there are times when continuous improvement gets sidelined in favour of simply getting the job done. But when this approach prevails for the longer term, perhaps due to budgetary or organisational pressures, it only serves to make the inevitable turnaround that much harder. In this session, we told the turnaround story of Imperial Brand’s equity and executive compensation plans. Three years into a sustained programme of improvement and modernisation, in partnership with Computershare, we showed how clear goals, determination and adaptability are enabling Imperial Brands to drive a sustained programme of change which is delivering many results, including significant time and cost savings, improved compliance and a better participant experience.

Colin’s current client base includes the likes of BAE Systems, William Hill, Centrica and Imperial Brands.

    Trevor Williams

    Deputy Company Secretary, Imperial Brands

    Trevor Williams FCIS is Deputy Company Secretary of Imperial Brands PLC. He joined Imperial at the time it was demerging from Hanson PLC and, in addition to his company secretarial role, oversaw the introduction of its share plans and their expansion into approximately 50 countries. He is currently overseeing the outsourcing of the administration of Imperial’s share plans to Computershare.

    Your all-employee share plan - where could it take you?

    Following the acquisition of HPE Software, Micro Focus wanted to deliver an all-employee plan across the newly formed business. The plans included UK and a Global ESPP including a US 423 element, with the plan to launch every six months. The marketing of the plans is key to the success, especially with the use of a microsite which has proved a real hit with employees. Our presentation focused on the original launch at the forming of the new business and the challenges faced, with aggressive timescales and the results achieved. Then, and arguably more importantly, we detailed the lessons learnt from the subsequent launch six months later, and analysed the results achieved.

    Garry joined Computershare in January 2010 following the acquisition of HBOS Employee Equity Solutions. While working for Computershare, Garry has accumulated a wealth of experience covering all kinds of plan types from UK approved SAYE to a major Global Stock Purchase Plan, which was delivered to over 40 countries. In his current role, he manages a number of Senior Client Managers and Client Managers.

    Stuart has over 17 years’ experience working as a share plan professional. Before moving to Micro Focus he undertook similar roles at Kingfisher and Deutsche Bank. He has significant share plan management experience both in-house and as a service provider, covering a variety of all-employee and discretionary plan arrangements.

    Philip Horner

    Company Secretarial Manager, Micro Focus

    Philip qualified as a chartered secretary in 2005 and has over 15 years’ experience working as a company secretary in both FTSE 100 and FTSE 250 companies. This experience includes a broad range of company secretarial work and has involved managing various types of share schemes including LTIP, UK and International Sharesave and ESPP schemes.
  • Anita Grant

    Anita Grant

    Partner, Deloitte

    Anita has been advising remuneration committees and companies on reward strategy for 19 years. Anita works with global companies on the design, implementation and operation of equity plans. She also has extensive experience advising businesses on how to deal with the complexities of international employment taxes and global mobility. Anita led the Deloitte Reward team supporting Micro Focus on the 2017 transaction.
  • Louise Henderson

    Louise Henderson

    Associate Director, Deloitte

    Louise qualified as a solicitor in 2008 with the employee incentives team at Norton Rose Fulbright before joining Deloitte in 2015. She has over nine years’ experience advising listed and private companies on all aspects of implementing and operating long-term share incentive and cash bonus plans in the UK and overseas, including the incentives aspects of corporate transactions.
