This experienced Dutch team is comprised of former global company secretarial business leaders and subject matter experts such as former lawyers and civil-law notaries.
The Dutch team is used to working on large (international) and multidisciplinary projects and covers a spectrum of services for listed and non-listed companies including annual compliance services, ad hoc services, directors’ training and meeting support (combined with the best technology; e.g. GEMS, CIMS and BoardWorks).
Annual compliance
Our standard annual compliance will include the following services: maintain digital statutory registers/minute books, prepare resolutions to approve the annual accounts by directors (if required) and by shareholders. Our annual compliance services can be tailored made. If the company concerns a listed company, Computershare can also support on filings and notifications with the AFM.
Ad hoc services
Computershare can provide ad hoc services such as (not exhaustive): draft resolutions, prepare filing forms and filings to support corporate changes (director/proxy holder changes, change of address), prepare required documents for issuance of power of attorney, distribution/contribution, incorporation/dissolution, branch registration/deregistration, amendment of articles of association, transfer/issuance of shares and (cross-border)merger, demerger and conversion.
