Public-Private Partnerships (P3)

We act as trustee on your public or private debt offering, functioning as paying agent, registrar and transfer agent. We also perform tax reporting functions, including remittances, compliance reporting to debtholders, as set out in the agreements, and coordinate special meetings of debtholders, as may be required.

As an independent third party (Agent or Trustee), we hold collateral and security interests in Letters of credit, Shares, Partnership Units, Promissory Notes and Guarantees, General Security Agreements, Mortgages, Waterfall Accounts and Blocked and Springing Accounts.

We administer waterfall accounts and disseminate funds as mandated.

We hold the financial model in safekeeping, in electronic or physical form.

We act as an independent agent to manage the competing collateral interests of two or more creditors in connection with their mutual borrower.

We administer insurance payments in accordance with the terms of the agreements.
